Terms of Service

1. Agreement to Terms

By accessing, contacting, or using any services provided by or facilitated through Cedar Tree Group, LLC ("Company," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be fully bound by these Terms of Service. If you do not agree to all of these terms, you must not use our services in any capacity.

2. Nature of Services

Cedar Tree Group operates exclusively as a coordination and referral service. We connect clients with independent, third-party contractors for home and commercial labor trades. We do not employ, supervise, direct, or control the contractors in our network. All contractors are independent professionals responsible for their own work, licensing, insurance, tools, materials, and conduct.

Cedar Tree Group does not perform, guarantee, warrant, or assume responsibility for any labor, construction, repair, maintenance, or any other work carried out by any contractor, whether or not such contractor was referred through our service.

3. Complete Disclaimer of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CEDAR TREE GROUP, ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH:

• Any work performed or not performed by any contractor
• The quality, timeliness, completeness, or safety of any work
• Property damage of any kind, including damage to real property, personal property, or fixtures
• Personal injury, bodily harm, or death
• Any disputes between clients and contractors
• Contractor negligence, misconduct, or failure to perform
• Any defects, deficiencies, or code violations in completed work
• Delays, cost overruns, or scope changes
• Loss of use, loss of profits, loss of data, or any economic losses
• Any claims by third parties related to work coordinated through our service

This disclaimer applies regardless of the legal theory asserted, whether based in contract, tort (including negligence), strict liability, warranty, or any other theory, even if Cedar Tree Group has been advised of the possibility of such damages.

4. Assumption of Risk

By using our services, you expressly acknowledge and assume all risks associated with engaging contractors for labor services. You understand that Cedar Tree Group is a coordination service only and that all decisions regarding the hiring, direction, and acceptance of work from any contractor are solely your responsibility.

5. No Warranty

ALL SERVICES PROVIDED BY OR THROUGH CEDAR TREE GROUP ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE QUALITY, AND NON-INFRINGEMENT.

We make no warranty, representation, or guarantee regarding the qualifications, reliability, licensing, insurance status, background, or quality of work of any contractor in our network. Any vetting or screening performed by Cedar Tree Group is for our internal purposes only and does not create any duty, warranty, or obligation to you.

6. Indemnification

You agree to fully indemnify, defend, and hold harmless Cedar Tree Group, its owners, officers, members, employees, agents, and affiliates from and against any and all claims, actions, suits, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your use of our services; (b) any work performed by a contractor referred through our service; (c) any breach of these terms by you; (d) any dispute between you and any contractor; or (e) any third-party claims related to work coordinated through our service.

7. Independent Contractor Relationship

All contractors in our network are independent professionals. Nothing in these terms or in our coordination services creates an employment, agency, partnership, joint venture, or franchise relationship between Cedar Tree Group and any contractor, or between Cedar Tree Group and any client. Cedar Tree Group has no authority to bind, direct, or control any contractor and assumes no responsibility for their actions or omissions.

8. Client Responsibilities

You are solely responsible for: verifying contractor credentials, licensing, and insurance; ensuring the work site is safe and accessible; obtaining all required permits and approvals; communicating project requirements clearly; inspecting and accepting or rejecting completed work; and making timely payments as agreed.

9. Dispute Resolution

Any dispute arising out of or relating to these terms or our services shall be resolved exclusively through binding arbitration in DuPage County, Illinois, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration against Cedar Tree Group.

10. Limitation on Claims

Notwithstanding anything to the contrary in these terms, in the event any liability is found against Cedar Tree Group despite the disclaimers and limitations herein, your total and exclusive remedy and Cedar Tree Group's total liability shall not exceed the coordination fee actually paid by you to Cedar Tree Group for the specific service giving rise to the claim, or fifty dollars ($50.00), whichever is less.

11. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Any invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

12. Changes to Terms

We reserve the right to modify these terms at any time without prior notice. Changes are effective immediately upon posting. Your continued use of our services after any modification constitutes your acceptance of the updated terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
